class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>A trademark assignment is a written document which helps to\ntransfer a recognized word, phrase, and symbol or design from the original\nowner to another owner. The original owner of the trademark is known as\n&#8220;the assignor,&#8221; and the future owner is known as &#8220;the\nAssignee.&#8221;<\/p>\n\n\n\n<p>The assignment of trademark occurs when there is a transfer\nof the owner&#8217;s right, title, and interest with respect to the trademark. In\nother way, we can say it is the transfer of ownership with or without the\ngoodwill of the business. In case the trademark is registered, such an\nassignment has to be recorded in the Register of Trademark.<\/p>\n\n\n\n<p>It is the most prized possession because it aids the\ncustomers to associate with the recognized brand quickly.<\/p>\n\n\n\n<p><strong>How can one assign a\ntrademark?<\/strong><\/p>\n\n\n\n<p>You can assign a trademark through a <a href=\"https:\/\/lawyerinc.net\/in\/trademark-assignment\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\"trademark assignment agreement (opens in a new tab)\">trademark assignment agreement<\/a>. Even though it can be proved by oral evidence, we should always prefer an oral assignment. One of the most important elements of the agreement is that there must be an intention on the part of the owner of the trademark for transferring ownership. <\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Trademark_Assignment_in_India\"><\/span><strong>Trademark Assignment in\nIndia<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Following are the different ways to assign or transfer\ntrademark in India-<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Complete_assignment_to_another_entity\"><\/span><strong>Complete assignment to another entity<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>The\nowner of the trademark transfers all the rights relating to the trademark like the\nright to further transfer, earn royalties, etc. The future owner will be the\nsole owner of the trademark. <\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Partial_Assignment\"><\/span><strong>Partial Assignment <\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>When\nthere is an assignment of trademark only for some of the goods and services,\nthen it comes under this type of assignment. <\/p>\n\n\n\n<p>Both\ncomplete and partial assignment of the trademark can be done with or without\ngoodwill.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Assignment_with_goodwill\"><\/span><strong>Assignment with goodwill<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Under this kind of assignment, the rights and the\nvalue of the trademark that is associated with the product are also\ntransferred.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Assignment_without_goodwill\"><\/span><strong>Assignment without goodwill<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>When\nthe owner of the brand puts a restriction on the rights of the buyer and does\nnot permit him to use such a brand for products being used by the original\nowner, then it is called assignment without goodwill.<\/p>\n\n\n\n<p>Furthermore,\nthe goodwill which is attached to such a brand with respect to the product\nalready being sold under the brand is not transferred to the future owner. In\nmany countries like the USA, an assignment without goodwill is not permitted.\nBut, it is permitted in India. <\/p>\n\n\n\n<p>If\nthere is a possibility of creating confusion in the minds of the existing\npublic with regard to a registered trademark, the Trademark Act, 1999 puts\ncertain restrictions on such assignments.&nbsp;\nSome of the restrictions are:<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>There is a restriction on trademark assignment, which results in the creation of exclusive rights for more than one person with respect to the same goods or services or for similar goods or services.<\/li><li>The Act also puts a restriction on the assignment of the trademark, which results in different people using the same trademark in different parts of the country at the same time simultaneously.<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Advantages_of_Trademark_Assignment\"><\/span><strong>Advantages of Trademark Assignment<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Valid_Proof\"><\/span><strong>Valid Proof<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>If there is a dispute related to a trademark,\none can establish the legal rights easily with the help of the trademark\nassignment deed. The Registrar examines all the clauses in the deed.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Security\"><\/span><strong>Security<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Under the Trademark assignment, the agreement\nis executed by both the parties. It acts like a valid proof which is admissible\nin court in case of a dispute. The assigned trademark is published in the\ntrademark journal, and the Registrar scrutinizes all the clauses to avoid any\nhurdles.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Market_Value\"><\/span><strong>Market Value<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Trademark assignment has its own benefit from\nan already established brand. Purchasing a pre-recognized brand has its own\nadvantage in terms of market base. Furthermore, the assignee does not have to\ninvest his time and money on the marketing and creating the brand. Most\nimportantly, the assignee doesn&#8217;t have to go through the registration process.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Agreements_for_transmission\"><\/span><strong>Agreements\nfor transmission<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>One can assign trademark through trademark assignment agreement. We should take certain points in mind while drafting the trademark assignment-<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>Due to the\nobligations, the rights of the owner are not affected.<\/li><li>One should\nmention whether the assignment is with or without goodwill.<\/li><li>And lastly,\nit should mention what the purpose of the transaction is.<\/li><\/ul>\n\n\n\n<p>While drafting the\nagreement, it is also important to pre-determine the rights and duties of the\nparties. The parties should always keep the following key elements in the\nagreement-<\/p>\n\n\n\n<ul class=\"wp-block-list\"><li>The effective date for transfer<\/li><li>The trademark<\/li><li>Assignor and Assignee<\/li><li>Consideration<\/li><li>Warranties<\/li><li>Signature<\/li><li>Notary public<\/li><\/ul>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"How_to_register_Trademark_Assignment_with_the_Registry\"><\/span><strong>How to register Trademark Assignment with the\nRegistry?<\/strong><strong><\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>Following is the process to record the trademark assignment with the Registry- <\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Assignment_of_the_unregistered_mark\"><\/span><strong>Assignment of the unregistered mark<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>The Trademark Act, 1999 under section 39\nstipulates that any unregistered trademark can be further allotted or\ntransmitted with or without the goodwill. One can make a request for the same\nunder form TM-16. <\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Assignment_of_a_registered_trademark\"><\/span><strong>Assignment of a registered trademark<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Section 38 of <a href=\"http:\/\/www.ipindia.nic.in\/writereaddata\/Portal\/IPOAct\/1_43_1_trade-marks-act.pdf\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\" (opens in a new tab)\">the Trademark Act, 1999<\/a> states that about allotment and transmission of the trademark with or without the goodwill of the business. It states that a trademark can be assigned in part with or without goodwill. All the assignments can be made on Form 23 or 24 of the Trademark.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_is_the_Procedure_for_Trademark_Assignment_Agreement\"><\/span><strong>What is the\nProcedure for Trademark Assignment Agreement?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Step_1\"><\/span><strong>Step 1<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>The first step is to make an application for\nthe assignment of trademark either by the assignee or the assignor or both of\nthem. The application should mention all the details of the transfer and be\nmade under form TM-P.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Step_2\"><\/span><strong>Step 2<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h3>\n\n\n\n<p>Once the application is complete, file the\nsame with the Registrar of the trademark.
