In this article, we will study that what is the procedure for Revival of Strike off Company.<\/p>\n\n\n\n<div class=\"wp-block-button aligncenter\"><a class=\"wp-block-button__link has-text-color has-very-light-gray-color has-background has-vivid-cyan-blue-background-color\" href=\"https:\/\/lawyerinc.net\/in\/revival-of-struck-off-companies?utm_source=learning_button\">Drafting and Filing Application for Revival<br><\/a><\/div>\n\n\n\n<p>Further, in the year 2019, ROC has struck off more than 2 lakh companies and has also disqualified more than 3 lakh directors under section 248(1) and 164(2)(a) of the Companies Act, 2013. In such a case, where the company has been struck off on account of Non-filing of the Annual Returns and Financial statements for a continuous period of 3 years,the said company can be restored just by filling a petition with the NCLT (National Company Law Tribunal).<\/p>\n\n\n\n<div class=\"shadow3\">Furthermore, section 252 of the Companies Act, 2013, not only deals with the provisions for striking off but also emphasize on the revival of strike off company. Moreover, according to section 252, a company that has been struck off is required to file an appeal with the NCLT bench for the name restoration and also for quashing the ROC (Registrar of Company) class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The\nfollowing listed are the governing sections of the striking off \u2013 \n<\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>\n\tSection\n\t248 of the Companies Act, 2013, deals with the power of ROC to\n\tstruck off the name of the concerned company from the Register of\n\tCompanies.\n\t<\/li><li>\n\tSection\n\t252 of the Companies Act, 2013, deals with the right of the company\n\tto file an appeal to the NCLT.\n\t<\/li><li>\n\tThe\n\tCompanies (Removal of Name of Companies from the Register of\n\tCompanies) Rules, 2016 also deals with the concept of strike off.\n\t<\/li><li>\n\tNCLT\n\tRules, 2016, together with Rule 87A of the NCLT (Amendment) Rules,\n\t2017, also addresses the concept of struck off.\n\t<\/li><li>\n\tLastly,\n\tin the case of striking off the defunct companies, again section 248\n\tof the Companies Act, 2013 comes into picture.&nbsp; However,\n\trestoration of the name can be done under section 252 of&nbsp;the\n\tCompanies Act, 2013.\n<\/li><\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"Who_can_file_an_appeal_to_the_NCLT_for_the_Revival_of_strike_off_company\"><\/span><strong>Who\ncan file an appeal to the NCLT for the Revival of strike off company?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The following listed are eligible to file an appeal to the NCLT for the Revival of Strike off Company in case the ROC has <a href=\"https:\/\/lawyerinc.net\/in\/revival-of-struck-off-companies\" target=\"_blank\" rel=\"noreferrer noopener\" aria-label=\"struck off the company (opens in a new tab)\">struck off the company<\/a> \u2013  <\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>\n\tCompany\n\titself\n\t<\/li><li>\n\tMember\n\t<\/li><li>\n\tCreditor\n\t<\/li><li>\n\tWorkman\n<\/li><\/ol>\n\n\n\n<p>Provided that the said application shall be made prior to the expiry of twenty years starting from the date of publication of the notice regarding striking off the name of the company in the Official Gazette.<\/p>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_are_the_Documents_Required_for_the_Revival_of_Strike_off_Company\"><\/span><strong>What\nare the Documents Required for the Revival of Strike off Company?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The\nfollowing listed are the documents required for the Revival of Strike\noff Company \u2013 \n<\/p>\n\n\n\n<table class=\"wp-block-table\"><tbody><tr><td>\n\t\t\t<strong>Particulars\n\t\t\tof Documents<\/strong>\n\t\t<\/td><td>\n\t\t\t<strong>Form\/\n\t\t\tDocuments<\/strong>\n\t\t<\/td><\/tr><tr><td>\n\t\t\tPetition\n\t\t\tof Company\n\t\t<\/td><td>\n\t\t\tForm\n\t\t\tNCLT-9\n\t\t<\/td><\/tr><tr><td>\n\t\t\tCopies\n\t\t\tof the Certificate of incorporation, Memorandum of Association and\n\t\t\tArticles of Association, and the Master data\n\t\t<\/td><td>\n\t\t\tAttach\n\t\t\tall of them as enclosures\n\t\t<\/td><\/tr><tr><td>\n\t\t\tCopy\n\t\t\tof the Notices issued by the ROC (Registrar of Vakalatnama or the Memorandum of Appearance\n\t\t<\/td><td>\n\t\t\tForm-12\n\t\t<\/td><\/tr><\/tbody><\/table>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_is_the_Procedure_for_the_Revival_of_Strike_off_Company\"><\/span>What is the Procedure for the Revival of Strike off Company?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>If\nin case any person or a company is not satisfied with the order\npasses by the Registrar regarding the strike-off of a company under\nsection 248, the same can file an appeal to the NCLT. However, it is\nsignificant to note that this appeal can be filed within a period of\nthree years, starting from the date of order.&nbsp; Further, the\nfollowing listed are the steps included in the procedure for\nthe&nbsp;revival of strike off company \u2013<\/p>\n\n\n\n<ol class=\"wp-block-list\"><li>\n\t<strong>Preparation\n\tand filing of the application to the NCLT<\/strong>\n\t\u2013 In\n\tthe first and foremost step, the applicant is required to file an\n\tapplication for the restoration of the company whose name has been\n\tstruck off by the ROC from the register of company. Further, the\n\tsaid application can be filed under section 252(3) of the Companies\n\tAct, 2013, together with rule 87A of the National Company Law\n\tTribunal (Amendment) Rules, 2017. Also, it is significant to note\n\tthat the petition for restoration can be filed with the NCLT within\n\tthree years, starting from the date of the strike-off.\n\t<\/li><li>\n\t<strong>Submission\n\tof the Petition with ROC<\/strong>\n\t\u2013\n\tIn the next step, the copy of the said application has to be served\n\twith the ROC (Registrar of Companies) and other people as per Rule\n\t87A of the National Company Law Tribunal (Amendment) Rules, 2017\n\teither by way of post or in hand but not less than 14 days from the\n\tdate of hearing.\n\t<\/li><li>\n\t<strong>Attachment\n\tof the list of Documents along with Application in NCLT-9<\/strong>\n\t\u2013 Now,\n\tthe applicant is required to file a list of documents needed under\n\tAnnexure B of the NCLT Rules, 2016. These documents are required to\n\tbe filed with the NCLT while filing the application.\n\t<\/li><li>\n\t<strong>Hearing\n\tof the Petition by NCLT: Rule 87A (3)<\/strong>\n\t\u2013 After filing the Petition, the\n\tNCLT is required to hear both sides. And after hearing, if the court\n\tis satisfied, it can pass an order for the restoration of the name\n\tof the company in the records of ROC.\n\t<\/li><li>\n\t<strong>File\n\tNCLT Order with the ROC<\/strong>\n\t&#8211; After\n\tthe Tribunal passes an order for restoration of the company after\n\tstruck off, and it will direct the said appellant to deliver a\n\tcertified copy of the order passed to the ROC (Registrar of\n\tCompanies) within a period of 30 days from order.\n\t<\/li><li>\n\t<strong>Directions\n\tby NCLT Under Rule 87A (4)<\/strong>\n\t&#8211; After\n\tthe delivery of the order, the ROC is required to publish the order\n\tin the official gazette. Further, the appellant is also required to\n\tpay the Registrar according to the directions of the Tribunal.\n\tThereafter, the company is needed to file the pending annual returns\n\tand financial statements with the Registrar of Companies (ROC) and\n\tpay the fee as per the NCLT.\n\t<\/li><li>\n\t<strong>Publication\n\tof order passed in the Official Gazette <\/strong>&#8211;\n\tLastly,\n\tthe ROC is required to publish the order passed in the official\n\tgazette.\n<\/li><\/ol>\n\n\n\n<h2 class=\"wp-block-heading\"><span class=\"ez-toc-section\" id=\"What_is_the_Benefit_of_the_Revival_of_Strike_off_Company\"><\/span><strong>What\nis the Benefit of the Revival of Strike off Company?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n\n\n\n<p>The revival of strike off company shall result in a double advantage. Firstly, following the seven steps mentioned above will result in the revival of strike off company and secondly, it will help the disqualified directors to restore their DIN.
